PURCHASE AGREEMENT

This Purchase Agreement (“Agreement”) governs all sales of research materials (“MATERIAL”) by Transition Peptides (“TransitionPeptides”) to the client (“Buyer”). By placing an order with TransitionPeptides, Buyer agrees to the following terms and conditions:

Definition of MATERIAL

“MATERIAL” refers to any product or service purchased from TransitionPeptides, including but not limited to peptides, proteins, liquids, powders, chemicals, labware, and hardware.

Intended Use

• All products are sold strictly for research and development purposes only.
• MATERIALS are not for human or animal consumption under any circumstances.
• MATERIALS may not be used in clinical, diagnostic, medical, food, drug, device, or cosmetic applications.
• Buyer affirms that purchases are for laboratory, analytical, or scientific purposes only and will be handled exclusively by qualified professionals.
• Buyer must be at least 21 years of age to purchase from TransitionPeptides.

Compliance & Responsibilities

• Buyer acknowledges the hazards associated with MATERIALS and is responsible for ensuring proper handling, storage, and use.
• Buyer agrees to comply with all applicable local, state, and federal laws and regulations regarding MATERIAL use.
• Buyer is responsible for conducting independent research to confirm safety protocols and legal compliance.
• MATERIALS are not guaranteed to be listed on the TSCA inventory. Buyer assumes responsibility for ensuring compliance where applicable.

Liability & Indemnification

• TransitionPeptides accepts no liability for misuse or improper handling of MATERIAL.
• Buyer agrees to indemnify and hold harmless Transition Peptides and its affiliates against any claims, losses, or damages arising from Buyer’s use of MATERIAL.
• Under no circumstances shall Transition Peptides be liable for special, incidental, or consequential damages.

Restrictions on Use & Transfer

• MATERIAL is provided for internal research use only and may not be resold, redistributed, repackaged, or used in commercial applications.
• Buyer may not provide MATERIAL to any third party without TransitionPeptides’s prior written approval.
• Buyer affirms that MATERIAL will not be exported in violation of applicable laws.

Warranties

• Transition Peptides makes no warranties, express or implied, regarding MATERIAL, including fitness for a particular purpose or non-infringement.
• Buyer acknowledges that MATERIAL has not been tested by Transition Peptides for safety or efficacy in medical, commercial, or consumer applications.

Legal Jurisdiction

• Any disputes shall be governed by the laws of the United States and adjudicated in the county where Transition Peptides operates.
• Buyer agrees to cover any legal expenses incurred by TransitionPeptides in connection with claims related to improper MATERIAL use.

PAYMENT & CREDIT CARDS

• Payments must be made to Transition Peptides.
  Credit card transactions will appear as Transition Peptides on statements.
• Buyer must provide accurate billing details. Incorrect information may delay order processing.

ORDERS & SHIPPING

• Order confirmation does not constitute acceptance.
• Transition Peptides reserves the right to decline or limit orders.
  Out-of-stock items will ship once available, unless Buyer cancels prior to shipping.
• Most in-stock orders ship same business day if received before 1 PM EST. Orders placed after cutoff or on weekends ship the next business day.
• Shipping timelines are estimates only. Transition Peptides is not liable for carrier delays.

RETURNS & REFUNDS

• Returns are accepted only for defective or incorrectly shipped products.
• All return requests must be submitted within a reasonable timeframe from delivery.

PRIVACY POLICY

• Buyer information (name, address, email, phone, payment details) is collected solely to process orders and improve service.
• TransitionPeptides does not share personal data except as necessary to complete transactions.
  External websites linked from Transition Peptides’s site have their own privacy policies.
• Transition Peptides is not responsible for third-party practices.

TAXES

• Sales tax will be charged where required by law.
• Buyer is responsible for any additional local taxes or duties.

TYPOGRAPHICAL ERRORS

• In the event a product is listed at an incorrect price, Transition Peptides reserves the right to cancel the order. If payment has been processed, Buyer will receive a refund for the incorrect amount.

ENTIRE AGREEMENT

This document represents the complete agreement between Transition Peptides and Buyer. Any modifications must be in writing and signed by both parties. If any provision is deemed unenforceable, the remainder of the Agreement shall remain in full effect.
